TipThePlay Terms of Service

1. Overview

TipThePlay ("TipThePlay", "we", "our", or "us") provides a platform enabling supporters to send monetary tips or other permitted value (collectively, "Tips") to eligible athletes and for athletes to share profile information, updates, and achievements. These Terms of Service ("Terms") form a binding agreement between you and TipThePlay. By accessing or using the platform, you confirm that you have read, understood, and agree to be bound by these Terms.

2. Eligibility

• You must be at least 13 years old (or the minimum digital consent age in your jurisdiction).
• Athletes receiving Tips must comply with all applicable Name, Image, and Likeness ("NIL") rules, school, conference, league, and governing body regulations.
• If you are under the age of majority, a parent or legal guardian must review and consent to these Terms on your behalf.
• By creating an account you represent and warrant that you meet all eligibility requirements.

3. Account Registration & Security

• You must provide accurate, current, and complete information during registration and keep it updated.
• You are responsible for safeguarding your credentials. Notify us immediately of any unauthorized use.
• We may suspend or terminate accounts that are inactive, inaccurate, or that violate these Terms.

4. Platform Purpose

TipThePlay is not a broker, financial institution, payroll service, talent agency, or tax advisor. We provide technology to facilitate voluntary tipping and athlete visibility. Tips are not purchases of equity, revenue sharing agreements, scholarships, wages, or guarantees of future performance.

5. Tips & Payments

• All payment processing is handled by third‑party processors (e.g., Stripe). Their terms apply in addition to ours.
• Fees: We may deduct a platform and/or payment processor fee before remitting funds. Fees are disclosed or embedded in checkout flows.
• Chargebacks and disputes may result in reversal of transferred amounts and potential account review.
• Refunds are generally not provided once a Tip is completed unless required by law or processor policy.
• We reserve the right to delay or withhold payouts pending verification, compliance checks, fraud review, or legal obligations.

6. Taxes & Compliance

Athletes and supporters are solely responsible for determining and fulfilling any tax obligations, reporting requirements, or regulatory compliance arising from use of the platform. We may provide general informational summaries but do not provide tax, legal, or accounting advice. We may issue informational statements where legally required.

7. User Content & Licenses

• "User Content" includes profile data, images, videos, statistics, descriptions, links, and any material you upload.
• You retain ownership of your User Content. By submitting it, you grant TipThePlay a non‑exclusive, worldwide, royalty‑free, sublicensable license to host, display, reproduce, adapt, and distribute it solely for operating, marketing, improving, and promoting the platform.
• You represent that you have the necessary rights and that your User Content does not infringe third‑party rights or violate law or policy.

8. Prohibited Conduct

• Fraud, identity misrepresentation, or impersonation.
• Money laundering, bribery, pay‑for‑play schemes, or inducements violating NIL or amateurism rules.
• Harassment, hate speech, abusive or discriminatory content.
• Uploading malware, attempting to probe or breach security, or scraping without permission.
• Artificially inflating statistics or manipulating displayed metrics.
• Using Tips as consideration for contracts, performance guarantees, or gambling arrangements.

9. Intellectual Property

All platform software, branding, trade names, logos, UI components, and original content (excluding User Content) are owned by or licensed to TipThePlay and protected by intellectual property laws. No rights are granted except as explicitly set forth in these Terms.

10. Privacy

Our collection and use of personal data is described in our Privacy Policy. You consent to such processing consistent with that policy. Do not post personal data of others without proper authorization.

11. Beta / Evolving Features

Certain features may be labeled beta, experimental, or limited release. They may change, fail, or be withdrawn at any time without liability.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AVAILABILITY, OR DATA ACCURACY. METRICS, STATISTICS, OR PERFORMANCE FIGURES DISPLAYED MAY BE DELAYED OR APPROXIMATE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIPTHEPLAY AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES PAID BY YOU TO US (IF ANY) IN THE SIX (6) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to defend, indemnify, and hold harmless TipThePlay from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your violation of these Terms; (c) your violation of any law or third‑party right; or (d) misuse of the platform.

15. Suspension & Termination

We may suspend or terminate access immediately for suspected violations, fraud risk, legal compliance, security concerns, or non‑payment of owed fees. You may stop using the platform at any time. Sections that by nature should survive termination will do so (including payment obligations, licenses, disclaimers, and limitations of liability).

16. Modifications

We may update these Terms periodically. Changes take effect upon posting unless a later date is stated. Continued use after changes constitutes acceptance. We will update the "Last Updated" date above for material revisions.

17. Governing Law

These Terms are governed by the laws of the jurisdiction in which TipThePlay is organized (without regard to conflict of law principles). Venue for any permitted court action will lie exclusively in the appropriate courts of that jurisdiction, unless required otherwise by applicable law.
